Corporate documents for use abroad, notarized in Scarborough

A bank or a registry in another country wants your company's papers with an apostille. Some of them go to the government as they are. The ones from your minute book need a notary public first.

  • Registry paper

Issued by the Ontario Business Registry since 1991: straight to Official Documents Services.

  • Minute book

Resolutions, officer's certificates, copies of articles: signed or certified here, then to Official Documents Services.

  • Federal company

A certified copy from Corporations Canada: to Global Affairs Canada.

Where each company paper goes before it leaves Canada

The routes below come from Ontario's page on authenticating a document for use outside Canada and from Global Affairs Canada's authentication requirements, read on October 14, 2026.

Official Documents Services does not authenticate electronic copies, so a registry PDF is not enough on its own. Its online portal says whether a given paper qualifies before you send it.

What the notary's seal proves on a company paper

A certified true copy

When the original stays in the minute book.

  • The original is on the desk, not a photocopy.
  • Every page of the copy is compared with it.

A witnessed signature

For a resolution or certificate signed today.

  • Each signer is at the desk with photo ID and signs there.
  • The notary confirms who signed. Authority to bind the company is in the company's own records.

Official Documents Services compares the notary's signature and seal, on one page, with the ones on file. It does not check what the document says, and it refuses papers commissioned by a commissioner for taking affidavits.

Government fees come from Ontario's registry price list and the authentication page above, with no tax added.

By mail, Official Documents Services returns papers within 15 business days. At 777 Bay Street in Toronto, a complete request takes about 30 minutes.

Canada joined the Convention on January 11, 2024. For a member country the paper gets an apostille and nothing more is added in Canada.

For other countries, Official Documents Services issues a certificate of authentication, and that country's consulate then legalizes the paper. Ontario lists a separate $32 fee for filing with a foreign consulate. Our step is the same either way.

What to bring for a company file

  • The minute book, or the original of every paper you need copied
  • Each director or officer who has to sign, with a passport or driver's licence
  • The resolution or certificate printed and left unsigned
  • The recipient's written list, so the right act goes on each paper
  • Cash or e-Transfer for our part

Email the drafts and we print them free. 1225 Kennedy Rd, Monday to Friday 10:00 to 6:30, weekends 12:00 to 4:00, walk-ins welcome.

“Quick and easy service. He was very accommodating and understanding. I did about 12 documents and got the lowest price when compared to other offices.”

Asked about company papers going abroad

Do you put the apostille on the papers?

No. In Ontario it comes from Official Documents Services, and for a federal paper from Global Affairs Canada. We do the notarial step before it.

Our company is federal. Does Ontario still handle the apostille?

A certified copy from Corporations Canada goes to Global Affairs Canada. A paper notarized here in Ontario goes to Official Documents Services.

Can a commissioner of oaths witness the resolution instead?

No. Official Documents Services cannot authenticate a document commissioned by a commissioner for taking affidavits, so a paper for abroad is signed before a notary public.

Does every director have to come to the office?

Each person whose signature the notary witnesses signs at the desk with photo ID. Whether separate signed pages are acceptable is up to the recipient.
